Introduction

1.1. These Terms and Conditions (“Terms”) govern your access to and use of the website toolseekers.org and any related services, including online tools and professional services such as scriptwriting, video production, corporate videos, company/personal profiles, and manuscript editing (“Services”). By accessing or using the website or Services, you agree to be bound by these Terms.

1.2. The website and Services are owned and operated by [SANJIV KUMAR], with its registered address at [AG-1/83-D, VIKAS PURI, NEW DELHI-110018] (“ToolSeekers”, “we”, “us”, or “our”).

1.3. If you do not agree with these Terms, you must not use our website or Services.

Changes to These Terms

2.1. We may update these Terms from time to time. The updated version will be indicated by an updated “Last updated” date and will be effective as soon as it is posted on this page.

2.2. Your continued use of the website or Services after any changes shows that you have accepted the revised Terms.

Scope of Services

3.1. ToolSeekers provides:

  • Access to and information about various online tools and resources.

  • Professional services, including but not limited to:

    • Scriptwriting for videos and films.

    • Video production and editing.

    • Corporate and brand videos.

    • Company and personal profile content.

    • Manuscript editing and critique (fiction, non-fiction, and poetry compilations) in English and Hindi.

3.2. The exact scope, deliverables, timelines, and fees for professional services will be defined in individual quotations, emails, statements of work, or order confirmations agreed between you and us (“Project Agreement”). In the event of any inconsistency, the Project Agreement will prevail over these general Terms for that specific project.

Eligibility and Accounts

4.1. You must be at least the age of majority in your jurisdiction to use the Services, or have the consent of a parent or legal guardian.

4.2. You may be required to create an account to access certain tools or Services. You agree to provide accurate, current, and complete information and to keep it updated.

4.3. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

Ordering, Pricing and Payment

5.1. Prices for professional services will be communicated via proposal, quotation, or order form and are typically based on project scope, complexity, and timelines.

5.2. Unless stated otherwise, all fees are exclusive of applicable taxes, which shall be added and payable by you as required by law.

5.3. Payment terms (such as advance percentage, instalments, and payment method) will be specified in the Project Agreement. You agree to pay all amounts due within the timelines indicated.

5.4. We reserve the right to suspend or withhold delivery of work if payments are overdue.

Revisions, Cancellations and Refunds

6.1. Unless otherwise agreed in writing, each project may include a limited number of reasonable revision rounds focused on minor changes, not complete reworks or changes of brief.

6.2. Substantial changes to the scope after work has commenced may be treated as additional work and charged separately, with revised timelines.

6.3. If you cancel a project after acceptance, we may retain any advance already paid and/or invoice you for work completed and expenses incurred up to the date of cancellation.

6.4. As our professional services are creative and customised, refunds are generally not available once work has begun, except where required by applicable law or expressly agreed in the Project Agreement.

Use of the Website and Tools

7.1. You agree to use the website and any tools only for lawful purposes and in accordance with these Terms and applicable laws.

7.2. You must not:

  • Use the website in any way that may damage, disable, or impair it.

  • Attempt to gain unauthorised access to any part of the website, server, or network.

  • Use automated means (such as bots or scrapers) to access the website, except as explicitly permitted.

  • Upload or transmit any malicious code, viruses, or harmful content.

Intellectual Property and Ownership of Work

8.1. Website content, including text, graphics, logos, images, and software, and the name and branding of ToolSeekers are owned by us or our licensors and are protected by copyright and other intellectual property laws.

8.2. Unless otherwise agreed in writing, we grant you a limited, non-exclusive, non-transferable licence to access and use the website for your personal or internal business use.

8.3. For professional services:

  • Upon full and final payment of all fees due under the relevant Project Agreement, and unless otherwise agreed, we grant you a licence (or assign rights, as specified in the Project Agreement) to use the final deliverables (such as scripts, videos, profiles, or edited manuscripts) for the purposes described in that agreement.

  • We retain ownership of the underlying know-how, methodologies, templates, pre-existing materials, and tools used to create the deliverables.

8.4. You may not resell, redistribute, or sublicense our work to third parties except as expressly permitted in writing or implied by the nature of the project (e.g., broadcasting a video or publishing a book using the edited manuscript).

8.5. Unless you explicitly opt out in writing, we may display non-confidential excerpts or credits of completed work (e.g., video thumbnails, script or profile project titles, book covers of published works) in our portfolio, showreels, and marketing materials, while honouring any confidentiality or NDA obligations.

Client Responsibilities and Content

9.1. You are responsible for providing accurate and complete information, briefs, references, and materials (including text, images, audio, or footage) needed for the project.

9.2. You warrant that any content you supply does not infringe the rights of any third party, is not defamatory, obscene, or otherwise unlawful, and that you have obtained all necessary permissions, licences, and consents (for example, talent releases, music licences, or permissions to use third-party texts or images).

9.3. You agree to indemnify us against any claims, damages, or expenses arising from the use of client-supplied content that infringes third-party rights or violates applicable law.

Language and Creative Discretion

10.1. For manuscript editing (English and Hindi), we focus on improving language, structure, and clarity but do not guarantee publication, commercial success, or any specific outcome.

10.2. For scriptwriting, video production, profiles, and corporate videos, creative choices (such as style, tone, structure, and visual treatment) are made in consultation with you but ultimately remain a matter of professional judgment within the agreed brief.

10.3. Suggestions and feedback provided by you will be considered in good faith, but not all suggestions may be implemented if they conflict with professional standards, legal considerations, or the agreed concept.

11.1. The website may contain links to third-party websites or tools that are not owned or controlled by us. These are provided for convenience only.

11.2. We do not endorse and are not responsible for the content, terms, or privacy practices of any third-party sites or services. Your use of such sites is at your own risk.

13.2. We do not guarantee that the website will be uninterrupted, secure, or error-free, or that any defects will be corrected.

13.3. While we use reasonable skill and care in delivering professional services, we do not guarantee any specific business, financial, or audience outcome (such as sales, views, conversions, or publication deals).

14.1. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or related to your use of the website or Services.

14.2. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or any Service will be limited to the total fees actually paid by you to us for the specific project or Services giving rise to the claim in the twelve (12) months preceding the event.

 Indemnification

15.1. You agree to indemnify, defend, and hold harmless ToolSeekers and its directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the website or Services.

  • Your breach of these Terms or a Project Agreement.

  • Any content you provide, including alleged infringement of third-party rights.

Suspension and Termination

16.1. We may suspend or terminate your access to the website or Services at any time, with or without notice, if we reasonably believe you have violated these Terms, misused our Services, or engaged in unlawful or harmful activities.

16.2. Upon termination, your right to use the website and any associated accounts will cease immediately. Provisions that by their nature should survive termination (including intellectual property, payment obligations, limitation of liability, and indemnity) shall continue to apply.
